Adoption of OSC Rule 52-503

Exemption from Disclosure of a Specified Financial Measure

On October 3, 2023, the following rule will come into force under the Securities Act:

  • OSC Rule 52-503 Exemption from Disclosure of a Specified Financial Measure

OSC Rule 52-503 provides an exemption in 澳门永利 from National Instrument 52-112 Non-GAAP and Other Financial Measures Disclosure for a reporting issuer that is, or that has a subsidiary or an affiliate, that is a 鈥渇ederal financial institution鈥 as defined by the Bank Act (Canada) and subject to OFSI Guidelines.

Amendments to National Instrument 14-101 Definitions and Consequential Amendments

On September 13, 2023, the following came into force under the Securities Act:

  • amendments to National Instrument 14-101 Definitions (NI 14-101); and
  • consequential amendments to the following rules:
    • National Instrument 31-103 Registration Requirements, Exemptions and Ongoing Registrant Obligations;
    • National Instrument 33-109 Registration Information;
    • National Instrument 45-106 Prospectus Exemptions;
    • National Instrument 62-103 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues;
    • National Instrument 81-102 Investment Funds;
    • National Instrument 94-102 Derivatives: Customer Clearing and Protection of Customer Collateral and Positions;
    • 澳门永利 Securities Commission Rule 14-501 Definitions; and
    • 澳门永利 Securities Commission Rule 45-501 澳门永利 Prospectus and Registration Exemptions (collectively, the Amendments).

In connection with the Amendments, the 澳门永利 Securities Commission also adopted changes (the Policy Changes) to Companion Policy 52-107CP Acceptable Accounting Principles and Auditing Standards. The Policy Changes came into effect on September 13, 2023.

The Amendments and Policy Changes provide for changes to the definitions of 鈥淐anadian financial institution鈥 and 鈥淗andbook鈥 within NI 14-101 and across all relevant national and local rules and policy, in which these terms, or similar iterations, are used.
